A condition gives the buyer time to do due diligence before the deal becomes firm. A representation and warranty is a legal promise that can protect the buyer through closing — and sometimes after closing.

An SOP condition means your deal depends on the buyer selling their home first — a transaction you have zero control over.
These conditions can tie up your property for weeks (or months). And if the buyer doesn’t sell… your deal doesn’t close.
Before accepting:
Look closely at the buyer’s property — is it listed, priced right, and set up to sell?
If you do accept, protect yourself with an escape clause. It allows you to keep marketing the property, take better offers, and force the buyer to make a decision.
This is one of the most misunderstood clauses in real estate — and one of the riskiest for sellers.

Your purchase depends on your sale. If your sale is delayed, your purchase gets delayed too. That’s how deals fall apart.
Better options are to sell first and arrange a short-term stay, or buy first using bridge financing. At a minimum, try to leave at least one business day between closings.
Structure here matters more than you think.

• Title was automatically converted to Land Titles
• There’s a valid, unprobated will
• No dealings on title since conversion
Miss one, and the exemption is gone.

Deposits aren’t tied to the seller’s actual losses. Under Ontario law, they act as a guarantee that the buyer will close. If the buyer defaults without legal justification, the seller can typically keep the deposit.
And if the seller suffers additional losses beyond the deposit, they may still pursue the buyer for more damages.

The number alone doesn’t tell the full story.
When reviewing a status certificate, what really matters is the reserve fund study. Under Ontario’s Condominium Act, condos must complete one at least every 3 years.
The key questions:
• Was a study done recently?
• What funding did it recommend?
• Is the board actually following it?
If they are — usually a good sign.
If they aren’t — that’s a red flag.
